Legal Agreement
These Terms and Conditions constitute a binding legal agreement between you and Podiumark. By accessing our website, enrolling in programs, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these terms.
If you do not agree with any provision of these Terms and Conditions, you must not use our services. Your participation in our programs confirms your acceptance of these terms as they may be updated from time to time.

1. User Obligations and Responsibilities
1.1 Legal Compliance
By using Podiumark's services, you agree to:
• Comply with all applicable local, national, and international laws and regulations
• Ensure you have the legal capacity to enter into binding contracts
• Provide truthful and accurate information in all interactions with Podiumark
• Respect all intellectual property rights of Podiumark and third parties
• Maintain confidentiality of proprietary information shared during programs
• Refrain from any activity that could harm Podiumark's reputation or operations
1.2 Conduct Requirements
Participants are expected to maintain professional and respectful conduct at all times:
• Treat instructors and fellow participants with courtesy and respect
• Arrive punctually for scheduled sessions and activities
• Participate actively and constructively in program activities
• Refrain from disruptive, offensive, or inappropriate behavior
• Respect the confidential nature of others' practice presentations and feedback
• Follow facility rules and safety guidelines for in-person sessions
1.3 Prohibited Activities
The following activities are strictly prohibited:
• Recording sessions without explicit written permission from all participants and instructors
• Reproducing, distributing, or selling program materials or methodologies
• Using program content to compete with Podiumark or establish similar services
• Harassing, threatening, or discriminating against other participants or staff
• Submitting false or misleading information during enrollment or participation
• Attempting to access restricted areas of our website or systems
• Engaging in any fraudulent activity or payment disputes without legitimate cause
1.4 Participant Indemnification
You agree to indemnify, defend, and hold harmless Podiumark, its officers, instructors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising from your breach of these Terms and Conditions, your violation of any law or third-party rights, or your misuse of our services.
2. Program Participation Terms
2.1 Enrollment and Prerequisites
When enrolling in programs:
• You must meet any specified prerequisites or eligibility requirements
• Enrollment is confirmed upon receipt of full payment unless alternative arrangements are made
• You acknowledge that program availability is subject to minimum enrollment requirements
• Program materials and schedules may be updated based on participant needs
• Some programs may have waiting lists or enrollment caps to maintain quality
2.2 Attendance and Participation
Regular attendance and active participation are essential for achieving program objectives. While we understand that occasional absences may occur, excessive absenteeism may impact your ability to benefit from the program and could result in removal without refund. If you must miss a session, please notify us in advance. Makeup opportunities may be available depending on program structure and instructor availability.
2.3 Program Materials and Resources
Program participants receive access to various materials and resources. These materials are provided for personal educational use only and remain the intellectual property of Podiumark. You may not share, reproduce, or distribute these materials without explicit written permission. Access to digital materials may expire after program completion or as specified in program terms.
3. Liability Limitations and Disclaimers
3.1 Disclaimer of Warranties
Podiumark provides services on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to:
• Warranties of merchantability or fitness for a particular purpose
• Guarantees of specific results or skill improvements
• Warranties that services will be uninterrupted, error-free, or secure
• Guarantees regarding the accuracy or completeness of program content
• Assurances of professional advancement or career outcomes
3.2 Limitation of Liability
To the fullest extent permitted by applicable law, Podiumark, its instructors, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, opportunities, or goodwill, arising from your use of our services, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising from these Terms and Conditions or your use of our services shall not exceed the total amount you paid to Podiumark in the twelve months preceding the claim.
3.3 Exclusions and Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, the above limitations may not apply to you, and our liability will be limited to the maximum extent permitted by law.
3.4 Assumption of Risk
By participating in our programs, you acknowledge and accept certain inherent risks associated with public speaking practice and skill development. You agree that participation is voluntary and at your own risk. Podiumark is not liable for any physical, emotional, or professional consequences that may arise from program participation.
4. Force Majeure
Podiumark shall not be liable for any failure to perform its obligations under these Terms and Conditions if such failure results from circumstances beyond our reasonable control, including but not limited to:
• Natural disasters, severe weather, or environmental emergencies
• Acts of war, terrorism, civil unrest, or government action
• Pandemics, epidemics, or public health emergencies
• Utility failures, internet outages, or infrastructure disruptions
• Labor disputes, strikes, or supply chain interruptions
• Technical failures or cybersecurity incidents beyond our control
In the event of force majeure, we will make reasonable efforts to minimize disruption and may offer alternative program dates, virtual alternatives, or credits toward future programs.
5. Legal Information and Dispute Resolution
5.1 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
5.2 Jurisdiction and Venue
Any disputes, claims, or controversies arising from or relating to these Terms and Conditions or your use of Podiumark's services shall be subject to the exclusive jurisdiction of the courts located in Nagoya, Japan. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
5.3 Informal Dispute Resolution
Before initiating formal legal proceedings, we encourage you to contact us to attempt to resolve any disputes informally. Many concerns can be addressed through direct communication. Please send a detailed description of your concern to info@knitvalleycraft.com, and we will work in good faith to reach a mutually acceptable resolution.
5.4 Class Action Waiver
To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Podiumark.
6. Intellectual Property Protection
All intellectual property rights in and to Podiumark's services, including but not limited to trademarks, service marks, logos, training methodologies, program content, website design, and proprietary techniques, are owned by or licensed to Podiumark and are protected by international copyright, trademark, and other intellectual property laws.
No license or right is granted to you except as expressly provided in these Terms and Conditions. Any unauthorized use of Podiumark's intellectual property may result in immediate termination of your access to services and may subject you to legal action.
If you believe that any content on our website infringes your intellectual property rights, please contact us with specific details, and we will investigate the matter promptly.
7. Privacy and Data Protection
Your use of Podiumark's services is subject to our Privacy Policy, which is incorporated into these Terms and Conditions by reference. By accepting these terms, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and disclosure of your personal information as described therein.

8. Severability and Waiver

The remaining provisions shall continue in full force and effect.
No waiver of any provision of these Terms and Conditions shall be deemed a further or continuing waiver of such provision or any other provision. Podiumark's failure to enforce any right or provision shall not constitute a waiver of such right or provision.
9. Assignment and Transfer
You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. Any attempted assignment in violation of this provision shall be null and void.
Podiumark may assign, transfer, or delegate these Terms and Conditions and its rights and obligations hereunder, in whole or in part, at any time without notice or consent, including in connection with a merger, acquisition, reorganization, or sale of assets.
10. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and Podiumark regarding your use of our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
No amendment to these Terms and Conditions shall be effective unless made in writing and signed by an authorized representative of Podiumark.
11. Modifications to Terms
Podiumark reserves the right to modify or update these Terms and Conditions at any time. We will provide notice of material changes by updating the "Last revised" date at the top of this page and may provide additional notice through email or a prominent announcement on our website.
Your continued use of our services following the posting of revised Terms and Conditions constitutes your acceptance of such changes. If you do not agree to the modified terms, you must discontinue use of our services. We recommend reviewing these terms periodically to stay informed of any updates.
