These Terms of Service govern your access to and use of Podiumark's website, programs, and services. By accessing or using our services, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use our services.
These terms apply to all visitors, users, and participants who access or use our website and services. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes.

1. Service Usage Terms

When using Podiumark's services, you agree to:
• Provide accurate and complete information when enrolling in programs or submitting inquiries

• Respect the intellectual property rights of Podiumark and other participants
• Maintain professional and respectful conduct during programs and interactions
• Refrain from disrupting or interfering with the services or other users' experiences
1.2 Prohibited Activities
You may not use our services to:
• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reproduce, distribute, or commercially exploit our program materials without permission
• Impersonate another person or entity
• Engage in any activity that could damage our reputation or business operations
1.3 Service Access Requirements
To access certain services, you may need to:
• Be at least 18 years of age or have parental consent
• Complete enrollment procedures and provide required information
• Meet any prerequisites specified for particular programs
• Maintain active contact information for program communications
• Have access to necessary technology for virtual or recorded content
1.4 Fair Usage Guidelines
We expect all participants to engage with our services in good faith. This includes attending scheduled sessions, completing assignments when applicable, participating constructively in group activities, and respecting the time and contributions of instructors and fellow participants. Repeated failure to meet these expectations may result in removal from programs without refund.
2. Account and Access Management
2.1 Account Responsibilities
If you create an account or enroll in programs, you are responsible for:
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breaches
• Keeping your contact information current and accurate
• Logging out from shared or public computers after use
2.2 Account Security
We implement reasonable security measures to protect your account information. However, you acknowledge that no security system is impenetrable and that we cannot guarantee the absolute security of your account. You are responsible for taking appropriate precautions with your access credentials.
2.3 Account Suspension and Termination
We reserve the right to suspend or terminate your access to our services if:
• You violate these Terms of Service or other applicable policies
• We detect fraudulent, abusive, or illegal activity
• You fail to meet payment obligations for enrolled programs
• Your behavior disrupts the learning environment for others
• We discontinue the service or particular programs
Upon termination, your access to program materials and services will cease. We may retain certain information as required by law or for legitimate business purposes.
3. Service Availability and Modifications
3.1 Service Uptime and Maintenance
While we strive to maintain consistent availability of our website and online services, we do not guarantee uninterrupted access. The website may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We will make reasonable efforts to provide notice of scheduled maintenance when possible.
3.2 Program Scheduling and Changes
For our training programs:
• We reserve the right to modify program schedules, content, or instructors when necessary
• Participants will be notified of significant changes with reasonable advance notice
• Programs may be rescheduled due to instructor availability, insufficient enrollment, or unforeseen circumstances
• In cases of program cancellation, enrolled participants will be offered alternative dates or full refunds
3.3 Service Modifications and Updates
We may modify, update, or discontinue any aspect of our services at any time without prior notice. This includes changes to program offerings, pricing structures, website features, or service delivery methods. Modifications are made to improve service quality and user experience. Active program participants will receive appropriate notice of changes affecting their enrolled programs.
3.4 Geographic Restrictions
Our services are primarily offered in Nagoya, Japan. While our website is accessible globally, certain programs and services may only be available to participants who can attend in-person sessions in Nagoya or participate through virtual platforms. We make no representation that our services are appropriate or available for use in all locations.
4. Intellectual Property Rights
4.1 Podiumark Content Ownership
All content on our website and within our programs, including text, graphics, logos, images, videos, course materials, methodologies, and software, is the property of Podiumark or its licensors and is protected by intellectual property laws. This content is provided for your personal, non-commercial use only.
4.2 License to Use Program Materials
When you enroll in a program, we grant you a limited, non-exclusive, non-transferable license to access and use program materials for personal educational purposes. You may not:
• Copy, reproduce, or distribute program materials to others
• Modify, adapt, or create derivative works from our content
• Use materials for commercial purposes or professional training you provide to others
• Remove or alter copyright notices or proprietary markings
• Reverse engineer or extract methodologies for competing services
4.3 User-Generated Content
If you submit feedback, testimonials, or other content to Podiumark, you grant us a non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and display that content for marketing, promotional, and operational purposes. You represent that any content you submit does not violate third-party rights or applicable laws.
4.4 Copyright Infringement Claims
If you believe that content on our website infringes your copyright, please contact us with specific details about the alleged infringement. We take intellectual property rights seriously and will investigate legitimate claims promptly.
5. Payment Terms and Refund Policy
5.1 Program Fees and Payment
Program fees are stated in Japanese yen and are due at the time of enrollment unless alternative payment arrangements have been agreed upon. We accept payment through various methods as indicated during the enrollment process. All fees are subject to change, but participants will be charged the rate in effect at the time of their enrollment.
5.2 Refund Policy
Our refund policy is as follows:
• Full refund available if cancellation occurs more than 14 days before program start
• 50% refund available for cancellations 7-14 days before program start
• No refund for cancellations less than 7 days before program start
• If Podiumark cancels a program, participants receive a full refund or credit toward future programs
• Refunds are processed within 14 business days of approved cancellation
5.3 Late Payment and Non-Payment
If payment is not received by the due date, we reserve the right to restrict access to program materials and sessions until payment is current. Accounts with outstanding balances may be subject to collection efforts, and you will be responsible for any collection costs incurred.
6. Disclaimers and Limitation of Liability
6.1 Service Disclaimer
Podiumark's services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee specific results or outcomes from participation in our programs. Individual results vary based on effort, practice, and personal circumstances.
6.2 No Professional Guarantees
Our programs are designed to help develop public speaking skills, but we make no guarantees about career advancement, professional opportunities, or specific skill achievements. Success depends on individual commitment, application of learned techniques, and factors beyond our control.
6.3 Limitation of Liability
To the maximum extent permitted by law, Podiumark and its instructors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability for any claims shall not exceed the amount you paid for the relevant program or service.
6.4 Third-Party Services
We may use third-party services for payment processing, video conferencing, or other functions. We are not responsible for the performance, availability, or security of these third-party services. Your use of third-party services is subject to their respective terms and conditions.
7. Indemnification
You agree to indemnify and hold harmless Podiumark, its instructors, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your violation of these Terms of Service, your misuse of our services, or your violation of any rights of another party.
8. Governing Law and Dispute Resolution
These Terms of Service are governed by the laws of Japan. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts in Nagoya, Japan.
Before pursuing formal legal action, we encourage you to contact us to resolve any concerns informally. Most issues can be addressed through open communication.
9. Modifications to Terms
We may update these Terms of Service periodically. When we make material changes, we will update the effective date and may notify you through email or a prominent notice on our website. Changes will take effect immediately upon posting unless otherwise specified.
Your continued use of our services after changes are posted constitutes acceptance of the revised terms. If you do not agree to the modified terms, you should discontinue use of our services.
10. Severability and Entire Agreement
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
These Terms of Service, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Podiumark regarding use of our services and supersede any prior agreements or understandings.
